Assignment Title: LNG Transaction Assistance for Area 1 and Area 4 of the Rovuma Basin in Mozambique – Phase VI

The Government of Mozambique has requested financing from the World Bank toward the cost of the Mining and Gas Technical Assistance Project (MAGTAP), and intends to apply part of the proceeds for consulting services.

 

The consulting services (“the Services”) include: (i) Provide advice and guidance regarding the technical, financial/economic, commercial and legal advisory services (strategic, structuring and tactical), ahead of contractual closing of the transactions; (ii) Support the evaluation of the Development Plan (POD) for Golfinho/Atum, Mamba and Prosperidade fields on the legal, commercial and finance matters; (iii) Review and advice on the Sales and Purchase Agreement (SPA) of the above mentioned projects; (iv) Support the negotiation team towards the FID announcement on the projects according to the agreed documents and according to the best LNG industry practices; (v) Review and advise upon the implications and appropriateness of agreements/ arrangements which indirectly affect Government such as the Unitization Agreement, FEED contracts, EPCIC and O&M and related plant agreements, financing agreements, shipping arrangements and their related financing agreements for the above mentioned projects; (vi) Review and advise on Coral South FLNG Service Agreement; (vii) Finalize economic/financial assessment for the Golfinho/Atum as well as initiate the assessment of the Mamba and Prosperidade fields project and submit the final model version of each project, as well as the developing the economic and financial model for the unitized area.

 

The Ministry of Mineral Resources and Energy now invites eligible consulting firms (“Consultants”) to indicate their interest in providing the Services. Interested Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services. The shortlisting criteria are: (i) experience in advising governments and corporations on all elements of the LNG and natural gas value chain, with extensive experience in oil and gas unitization agreements, LNG development and commercial agreements including SPA´s; (ii) knowledge of LNG market conditions and commercial practices and network of specialist covering a wide range of technical and commercial disciplines related to LNG; and (iii) International and regional experience in project economics, financing of major infrastructure projects and economic modeling to support negotiations of LNG projects.

 

The attention of interested Consultants is drawn to paragraph 1.9 of the World Bank’s Guidelines: Selection and Employment of Consultants under IBRD Loans and IDA Credits & Grants by World Bank Borrowers, January 2011 (“Consultant Guidelines”), setting forth the World Bank’s policy on conflict of interest.

 

Consultants may associate with other firms in the form of a joint venture or a sub consultancy to enhance their qualifications. When expressing interest in association, consultants are encouraged to state the form of association.

 

A Consultant will be selected in accordance with the Consultants´ Qualification and Cost Based Selection method (QCBS) set out in the Consultant Guidelines.
